Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 6, 2020 the Board of Directors (the “Board”) of Advanced Micro Devices, Inc. (the “Company”) adopted an amendment and restatement of the Company’s bylaws (the “Bylaws”) to implement proxy access, effective immediately. The Bylaws include a new Section 14 under Article II that permits a stockholder, or a group of up to 20 stockholders, owning at least three percent of the Company’s outstanding stock continuously for at least three years to nominate and include in the Company’s proxy materials for an annual meeting of stockholders, director candidates constituting up to twenty percent of the Board elected by holders of the Company’s common stock, provided that the stockholder (or group) and each nominee satisfy the requirements as set forth in the Bylaws. The Company also amended other sections of Article II of the Bylaws to make clarifications and conforming changes resulting from the adoption of proxy access and made non-substantive changes to Articles III, V and VI.
